Studio Agreement
Version 2026-10-30-draft. For studios and agencies that manage performers on TuttiChat.
Interim version. A final version prepared by our legal team will replace it; studios will be asked to accept the new version.
1. Who this agreement is for
- This Studio Agreement applies to any business or person that opens a Studio account on TuttiChat to manage one or more Performers (a "Studio").
- It adds to the TuttiChat Terms of Service and content rules, which the Studio and every Performer must also follow. If they conflict, this agreement applies to studio matters.
- "Performer" means a person who broadcasts live on TuttiChat with their own Performer account. "Tuquis" are the platform credits fans use to pay.
2. The Studio account
- The Studio must be a legally registered business or a self-employed person allowed to run this activity where it operates, and must verify its identity and business details before it can be paid.
- The person accepting this agreement confirms they are at least 18 years old (or the age of majority where they live, if higher) and are authorised to bind the Studio.
- The Studio keeps its login private and is responsible for everything done through its account.
3. Performers
- Every Performer must have their own TuttiChat account, in their own name, and must pass TuttiChat' identity and age verification before going live. A Studio may never create, operate or share an account on behalf of a Performer, or broadcast a person who has not been verified.
- Everyone who appears on camera, even briefly, must be a verified adult who has given their consent. The Studio must make sure of this for every broadcast that takes place on its premises or under its management.
- A Performer joins a Studio only by signing up through the Studio's link or by accepting the Studio's invitation themselves. The Studio must have a written agreement with each Performer that explains how and when the Performer is paid.
- A Performer may leave the Studio at any time from their dashboard. The Studio may not punish, threaten or hold back a Performer for leaving, and must not keep a Performer's identity documents, passwords or devices.
4. Earnings and payments
- While a Performer is linked to the Studio, all Tuquis fans pay to that Performer (tips, tip menu, private, group and ticket shows, and fan club subscriptions) are credited to the Studio's account instead of the Performer's.
- Every Tuquis credited to the Studio is converted on receipt into a fixed US$0.05 owed to the Studio, whatever the fan paid for it (TuttiChat' commission is included in the price fans pay for Tuquis); requesting a payout (minimum US$50) only moves that dollar balance into the payment queue. We'll give at least 30 days' notice before lowering this rate; it never changes for payments already received. The Studio is solely responsible for paying each Performer what it owes them under their agreement, on time and in full. TuttiChat is not a party to that agreement and does not decide or guarantee any split.
- The Studio must keep accurate records of what it pays each Performer and give each Performer a statement of their earnings when asked.
- Tuquis a Performer earned before joining the Studio stay with the Performer. When a Performer leaves, new payments go to the Performer from that moment; earlier payments stay with the Studio.
- Refunds, cancelled ticket shows and reversed or disputed payments are taken back from the account that received the payment. The Studio's balance may be held while a payment dispute or investigation is open.
5. Conduct and compliance
- The Studio must follow the laws of every country where it operates or its Performers broadcast, including labour, tax, data-protection and adult-content laws.
- The Studio is responsible for its own taxes and for any taxes, social contributions or registrations required for its Performers under local law.
- Strictly forbidden: anyone under 18 on camera or involved in any way; any form of coercion, trafficking, debt bondage or exploitation; broadcasting anyone without their consent; using someone else's identity; and sharing or reselling Performer accounts.
- The Studio must cooperate with any TuttiChat review, including providing contracts, consent records and payment records for its Performers when asked.
6. Suspension and termination
- TuttiChat may suspend or close a Studio account, hold its balance, and unlink its Performers if it believes this agreement or the Terms of Service were broken, or if a Performer reports being unpaid, coerced or mistreated.
- Where the law requires it, TuttiChat reports suspected exploitation, trafficking or underage content to the authorities.
- The Studio may close its account at any time once its Performers are unlinked and open payouts are settled.
7. Responsibility and liability
- 7.1 Independent parties. TuttiChat provides the platform that connects Performers and fans and processes their payments in Tuquis. The Studio and TuttiChat are independent businesses: nothing in this agreement makes them partners, a joint venture, or employer and employee, and neither may bind the other. Performers are not employees of TuttiChat, and TuttiChat is not a party to any agreement between the Studio and its Performers.
- 7.2 The Studio's responsibility for its Performers. The Studio alone is responsible for its relationship with each Performer: their agreement, their pay, working conditions, the premises and equipment it provides, any staff it employs, and every legal duty that comes with them (including labour, social-security, tax, health and safety, and data-protection obligations).
- 7.3 Indemnity. The Studio will defend TuttiChat, its companies, officers, employees and contractors against, and pay for, any claim, fine, loss, damage, cost or expense (including reasonable legal fees) that arises from: (a) the Studio breaking this agreement, the Terms of Service or the content rules; (b) the Studio breaking any law; (c) any claim by a Performer, a member of the Studio's staff or a third party about the Studio's conduct, its payments to Performers, or content broadcast under its management; and (d) taxes or contributions the Studio was responsible for. TuttiChat will tell the Studio about such a claim within a reasonable time and may take part in its defence with lawyers of its choice. The Studio may not settle a claim that imposes any obligation or admission on TuttiChat without TuttiChat' written consent.
- 7.4 Set-off and balances. TuttiChat may deduct from the Studio's balance, or from future earnings credited to it, any amount the Studio owes under this agreement, including refunds, chargebacks, reversed payments, fines and indemnified costs. Where a Performer credibly reports that the Studio has not paid what it owes them, TuttiChat may hold the corresponding amount while it reviews the report.
- 7.5 What TuttiChat does not promise. The platform is provided "as is" and "as available". TuttiChat does not guarantee any level of earnings, audience, traffic, uninterrupted service or availability of any feature, and may change or discontinue features. TuttiChat is not responsible for the conduct of fans, Performers or other users, or for content they create.
- 7.6 Limits on TuttiChat' liability. To the extent the law allows: (a) TuttiChat is not liable for indirect or consequential losses, or for loss of profits, revenue, business, goodwill or data; and (b) TuttiChat' total liability to the Studio for all claims arising out of or relating to this agreement in any 12-month period is limited to the earnings (in US dollars) credited to the Studio's account in the 3 months before the event giving rise to the claim.
- 7.7 What is never limited. Nothing in this agreement limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, for the Studio's indemnity and payment obligations in sections 4 and 7.3, or for any other liability that cannot be limited or excluded by law.
- 7.8 Survival. Sections 4 (for amounts owed), 6, 7 and 8.2 to 8.6 (law, disputes, arbitration, class-action waiver and time limits) continue to apply after the Studio account is closed or this agreement ends.
8. General terms
- 8.1 Who you contract with. This agreement is between the Studio and the company that operates TuttiChat ("TuttiChat").
- 8.2 Governing law. This agreement, and any dispute or claim arising out of or in connection with it, is governed by the laws of the State of Delaware, United States of America, without regard to its conflict-of-laws rules. Mandatory protections of the law where a Performer works are not affected.
- 8.3 Resolving disputes: talks and mediation first. If a dispute arises, either side may send the other a written notice describing it, and both will try in good faith to resolve it within 30 days. If it is not resolved, either side may refer it to non-binding mediation with a mediator both agree on or, if they can't agree within 15 days, administered by the American Arbitration Association ("AAA") under its Commercial Mediation Procedures; each side pays its own costs and half of the mediator's fees.
- 8.4 Binding arbitration. Any dispute not resolved within 60 days after mediation starts (or if either side declines mediation) will be finally resolved by binding arbitration administered by the AAA under its Commercial Arbitration Rules, before a single arbitrator, seated in Wilmington, Delaware, and conducted in English. The Federal Arbitration Act governs this arbitration clause. The arbitrator's award is final and may be entered as a judgment in any court with jurisdiction. Either side may still ask a competent court for urgent relief (for example, to stop misuse of the platform or to protect a Performer) and to enforce an award; for those purposes both sides accept the jurisdiction of the state and federal courts located in the State of Delaware.
- 8.5 Individual claims only (class-action waiver). Each side may bring claims against the other only in its individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated or representative proceeding. The arbitrator may not consolidate claims of more than one Studio or preside over any form of class or representative proceeding. If this section 8.5 is found unenforceable for a particular claim, that claim (and only that claim) will be decided by the state or federal courts located in the State of Delaware.
- 8.6 Time limit for claims. A claim must be brought within one year after the Studio knew, or should have known, of the facts giving rise to it, unless a longer period is required by law.
- 8.7 Notices. TuttiChat sends notices to the email address of the Studio account or shows them in the Studio dashboard; they count as received the day they are sent. The Studio sends notices to [email protected], and they count as received when TuttiChat confirms receipt.
- 8.8 Changes to this agreement. TuttiChat may update this agreement. A new version is published on this page with a new version number, and the Studio is asked to accept it before it can keep adding Performers or using its sign-up link. Changes needed to comply with the law or to protect Performers may apply immediately; others apply when the Studio accepts them. If the Studio does not accept a new version, it may close its account under section 6.
- 8.9 Transfer. The Studio may not transfer this agreement or its account to anyone else without TuttiChat' written consent. TuttiChat may transfer this agreement to a company that takes over the operation of TuttiChat, and will tell the Studio if it does.
- 8.10 Whole agreement. This agreement, the Terms of Service and the content rules are the whole agreement between the Studio and TuttiChat about studio accounts. If any part is found invalid or unenforceable, the rest still applies, and the invalid part is replaced by the closest valid wording. If TuttiChat does not enforce a right straight away, it has not given up that right.
- 8.11 Acceptance and language. The Studio accepts this agreement electronically, which is as binding as a signed paper copy; TuttiChat records the version accepted, the date and time, and the IP address. If this agreement is translated, the English version prevails.
